Please read these Terms before placing an order or using our services.
By placing an order or using a service, you agree to the Terms applicable to your purchase. If you do not agree, you should not purchase or use the relevant service.
2. Who These Terms Apply To
These Terms apply to:
Business customers (B2B): companies, sole traders and other customers purchasing services for business or professional purposes.
Consumers (B2C): individuals purchasing services wholly or mainly outside their trade, business, craft or profession.
Certain provisions apply differently to business customers and consumers. Nothing in these Terms excludes or restricts any consumer right that cannot lawfully be excluded or restricted.
If you place an order on behalf of an organisation, you confirm that you have authority to accept these Terms on its behalf.
3. Our Services
IP Automate provides AI-powered automation and digital services. The specific functionality available depends on the package purchased and any additional written agreement.
3.1 AI Receptionist
The AI Receptionist is a website-based chatbot designed to answer visitor enquiries and assist with appointment scheduling.
Depending on the agreed configuration, it may:
Respond to enquiries using information and instructions supplied by the customer.
Provide information about the customer's business and services.
Assist visitors with appointment bookings.
Connect with supported calendar and scheduling systems.
The AI Receptionist covered by these Terms is a website chatbot, not a telephone answering or phone-call service. Any additional functionality must be expressly agreed in writing.
3.2 AI Marketing Suite
The AI Marketing Suite helps customers create and publish social media content using AI-assisted workflows and supported integrations.
Depending on the package purchased, it may:
Generate social media captions, post ideas and other content.
Prepare content for supported social media platforms.
Schedule or automatically publish posts using authorised integrations.
Support marketing workflows based on customer-provided information and instructions.
Supported platforms and functionality may change depending on third-party permissions, technical requirements and platform policies.
3.3 Bespoke Proposals and Free Audits
IP Automate may offer personalised proposals, a free audit, recommendations or an initial assessment of a prospective customer's requirements.
A free audit or proposal is not a guarantee of results or an obligation to implement any recommendations. Implementation work is included only where specified in the applicable package, order or written agreement.
Additional development or work outside the agreed scope may require a separate quotation.
4. Orders and Contract Formation
The applicable package, functionality, monthly subscription price, setup fee and any other charges will be shown at checkout or in a written proposal before the customer commits to the purchase.
You are responsible for reviewing the order details before completing your purchase.
A contract is formed when we accept your order or confirm the purchase, as specified in the checkout process.
We may contact you to obtain information, permissions or access needed to configure your service.
If we cannot provide a service as agreed, we will contact you to discuss appropriate next steps. This does not limit any rights you may have under applicable law.
5. Initial Setup Fee
5.1 One-Off Charge
A fixed, one-off setup fee applies to services for which setup is required.
The applicable amount will be clearly displayed at checkout before you complete your purchase. The setup fee is charged separately from the monthly subscription fee.
5.2 What Setup May Include
Depending on the service purchased, setup may include:
Initial configuration of the AI Receptionist or AI Marketing Suite.
Configuration of agreed automation workflows.
Connection to supported calendar, social media or other integrations.
Configuration of business information, instructions and agreed settings.
Initial testing of the agreed functionality.
The precise work included will depend on the package and the service configuration agreed with you.
5.3 When Setup Work Begins
Setup work will ordinarily begin after the applicable setup fee has been paid and you have provided the information, permissions and access reasonably required to proceed.
If you are a consumer, any request to begin service during a statutory cancellation period will be handled in accordance with Section 8.
5.4 Setup Fee and Refunds
The setup fee is intended to cover the agreed initial configuration work. It is separate from the recurring subscription charge.
If you cancel before setup begins, any refund will be assessed in accordance with the contract and applicable law.
If setup has begun or has been completed, any refund or amount payable will depend on the circumstances, the work performed, the agreed scope and applicable legal requirements.
Nothing in this section makes the setup fee automatically non-refundable in circumstances where a refund is legally required.
6. Monthly Subscription and Payment
6.1 Monthly Billing
Subscription services are billed monthly. The applicable price, billing currency, setup fee and any applicable taxes will be shown before you purchase.
6.2 Automatic Renewal
Unless the order expressly states otherwise, the subscription renews automatically each month until cancelled in accordance with these Terms.
By purchasing a recurring subscription, you authorise the recurring payments disclosed at checkout using your selected payment method.
6.3 Payment Processing
Payments are processed through Stripe or another payment provider expressly identified at checkout.
Your payment may also be subject to the relevant provider's terms and privacy practices. Where payment card details are handled directly by the payment provider, IP Automate does not intend to store the full card details itself.
6.4 Failed Payments
If a payment fails, we may notify you and ask you to update your payment details.
If payment remains outstanding, we may restrict or suspend the affected service after appropriate notice where reasonably practicable. Any action will be proportionate and subject to applicable law.
You remain responsible for valid charges incurred under your contract.
6.5 Price Changes
If we propose to change a subscription price, we will give appropriate advance notice before the new price applies.
Where required by law or your contract, we will obtain your agreement before applying the change. If you do not accept a proposed change, you may cancel before it takes effect, subject to applicable legal requirements.
We will not apply a price increase retrospectively to a period already paid for.
7. Subscription Cancellation
7.1 How to Cancel
You may request cancellation by using the cancellation method made available to you or by contacting:
Email: contact@ipautomate.co.uk
Please include sufficient information to identify your account and subscription.
7.2 When Cancellation Takes Effect
Unless applicable law requires otherwise, cancellation takes effect at the end of the current paid billing period.
You may continue using the service until that period ends, subject to these Terms and any applicable suspension rights.
After the cancellation takes effect:
The subscription will not renew for another billing period.
Access to the subscription service may end.
Any valid outstanding charges for services already supplied remain payable, subject to applicable law.
7.3 Subscription Refunds
Ordinarily, cancelling a subscription does not automatically entitle you to a refund for a billing period that has already begun.
However, this does not affect any statutory cancellation or refund rights, rights arising where a service has not been provided as agreed, or any refund required by law.
The setup fee is dealt with separately under Section 5.
7.4 Statutory Consumer Rights
The cancellation arrangements in this section do not override any statutory cancellation right available to a consumer.
If you exercise a valid statutory right to cancel, the legal rules governing the cancellation and any refund take precedence over the ordinary end-of-billing-period arrangement.
8. Consumer Cancellation Rights
If you are a consumer entering into a qualifying distance contract, you may generally have a statutory right to cancel within 14 days of entering into a service contract, subject to applicable law and any relevant exceptions.
To exercise a statutory cancellation right, you must clearly inform us of your decision within the applicable cancellation period. You may contact us at contact@ipautomate.co.uk.
8.1 Starting Services During the Cancellation Period
If you ask us to begin supplying a service during the statutory cancellation period, we will obtain any express request or acknowledgement required by law.
If you then cancel during that period, you may be required to pay a proportionate amount for services supplied before cancellation where the law permits this.
For digital content or services subject to specific statutory rules, any required consent, acknowledgement or other condition will be handled in accordance with applicable law.
8.2 Refunds Following Statutory Cancellation
Where a consumer is legally entitled to a refund, we will process it in accordance with the applicable legal requirements.
Nothing in these Terms excludes or restricts consumer rights relating to services that are not provided with reasonable care and skill, are not as described or otherwise fail to meet applicable legal standards.
9. Customer Responsibilities
You agree to:
Provide accurate, complete and up-to-date information needed to configure and operate your service.
Ensure that you have the necessary rights and permissions for content, images, data, instructions and other materials you provide.
Maintain control of your business accounts and grant only the access reasonably necessary for the agreed service.
Keep credentials secure and notify us of suspected unauthorised access.
Use the services lawfully and in accordance with these Terms.
Review important AI-generated outputs where appropriate.
Ensure your own business activities, website, marketing and customer communications comply with applicable law.
Inform us of changes to information, permissions or integrations that may affect the service.
You are responsible for the accuracy of information you supply, including prices, opening hours, service descriptions, appointment availability and booking rules.
10. AI-Generated Content and Automated Responses
Our services may use artificial intelligence to generate text, assist with customer enquiries, suggest marketing content or support appointment scheduling.
AI-generated outputs may be inaccurate, incomplete, inappropriate or unsuitable for a particular situation. They may not always reflect current information or your intended meaning.
You should maintain appropriate oversight of outputs and automated actions, especially where they may affect customers, bookings, payments, legal obligations or your business reputation.
Unless expressly agreed otherwise, our services are not a substitute for professional legal, medical, financial or other regulated advice.
We do not guarantee that AI-generated content will be error-free, unique, commercially successful or suitable for every purpose.
These provisions do not exclude any responsibility that cannot lawfully be excluded.
11. AI Receptionist and Appointment Bookings
The AI Receptionist operates according to its configuration, the information supplied and the capabilities of connected systems.
You are responsible for ensuring that business information, chatbot instructions, booking rules and calendar settings reflect your intended processes.
Where appointment scheduling is enabled:
Availability may depend on a connected calendar or scheduling service.
Incorrect information, integration failures or changes in connected systems may affect bookings.
You should maintain appropriate procedures for checking important appointments and resolving booking errors.
You remain responsible for delivering the services or appointments offered to your own customers.
We will use reasonable care when configuring the agreed functionality but cannot guarantee uninterrupted operation or that every interaction will produce the intended outcome.
12. AI Marketing Suite and Automatic Publishing
12.1 Authorisation to Publish
By enabling automatic publishing and supplying the relevant account permissions and instructions, you authorise IP Automate's configured workflows to create, schedule and publish content on your behalf through supported integrations, within the scope of the agreed service.
Unless a different workflow is agreed in writing, the service may publish content automatically in accordance with your instructions without requiring your separate approval of each individual post.
You are responsible for providing accurate instructions and ensuring that the agreed publishing workflow is suitable for your business.
12.2 Customer Responsibilities
You remain responsible for:
The accuracy and lawfulness of your marketing claims.
Ensuring that you have the necessary rights to images, text, music, trademarks and other content.
Compliance with applicable advertising, consumer protection, privacy and marketing laws.
Ensuring that any content or instructions you supply are appropriate for publication.
Maintaining valid permissions and access to connected social media accounts.
Notifying us of any change to your publishing instructions or authorisations.
If you want to stop automatic publishing, you must notify us or disable the relevant functionality through the available controls, where provided. We will take reasonable steps to apply the requested change, subject to technical limitations and any content already submitted for publication.
12.3 Third-Party Platforms
Social media platforms may change their APIs, permissions, policies or functionality. These changes may interrupt publishing, require reauthorisation or make particular features unavailable.
We do not guarantee that a third-party platform will accept, display, distribute or retain every post.
We do not guarantee any particular number of followers, leads, sales, views, engagement levels or other marketing results.
13. Third-Party Services and Integrations
Our services may rely on third-party systems, including payment processors, calendar providers, social media platforms, AI providers, hosting services and automation infrastructure.
Those systems are subject to their own terms, policies and availability.
We are not responsible for independent changes or failures of third-party systems outside our reasonable control. This does not exclude responsibility for our own acts or omissions or any liability that cannot lawfully be excluded.
Where a third-party issue materially affects your service, we will take reasonable steps to assess the issue and, where appropriate, explain the impact and possible alternatives.
14. Intellectual Property
14.1 IP Automate Materials
IP Automate retains ownership of its pre-existing and underlying systems, automation workflows, software, templates, methods, know-how, infrastructure, documentation and other materials developed independently of a customer's order.
Purchasing a subscription or setup service does not transfer ownership of these underlying systems or workflows to the customer.
14.2 Customer Materials
You retain ownership of materials you supply to us, subject to third-party rights.
You grant us permission to use, process, adapt and reproduce those materials only to the extent reasonably necessary to configure, provide, maintain and support the agreed services and fulfil our contractual obligations.
14.3 Paid Deliverables
Subject to applicable third-party rights, the terms of your package and any separate written agreement, you may use the deliverables supplied as part of your paid service for your business or personal purposes consistent with the service purchased.
This permission does not transfer ownership of IP Automate's underlying systems, workflows, templates, tools or infrastructure.
AI-generated outputs may not qualify for intellectual property protection in every jurisdiction, and similar outputs may be generated for other users. We do not guarantee that every output is exclusive to you or free from third-party rights.
You remain responsible for ensuring that your use of deliverables is lawful.
15. Privacy and Data Protection
We process personal data in accordance with our Privacy Policy, available at ipautomate.co.uk/privacy-policy
Depending on the service and circumstances:
IP Automate may act as a data controller for personal data used to manage its own business relationship, website and customer accounts.
Where we process personal data on behalf of a business customer, IP Automate may act as a data processor and the business customer may act as controller.
Where required, the parties will enter into a separate Data Processing Agreement (DPA) setting out their respective data protection obligations.
You must ensure that you have an appropriate lawful basis and provide any required privacy notices or permissions for personal data you provide or collect through the services.
Further details concerning personal data, third-party providers, retention, individual rights and contact arrangements are set out in our Privacy Policy.
16. Service Availability, Maintenance and Changes
We aim to provide our services with reasonable care and skill.
We do not guarantee uninterrupted availability or compatibility with every website, device, application or third-party system.
We may perform maintenance, security updates or technical changes where reasonably necessary.
We may modify a service to reflect security requirements, technical developments, third-party platform changes or changes in applicable law. If a change materially reduces the core functionality of a paid service, we will provide appropriate notice and consider reasonable options, subject to the contract and applicable law.
Nothing in this section removes statutory consumer rights.
17. Suspension and Termination
We may suspend or terminate access where reasonably necessary if:
You materially breach these Terms and fail to remedy the breach after reasonable notice, where it can be remedied.
Your use of the service creates a material security, legal or operational risk.
Required payments remain outstanding after appropriate notice.
A third-party platform or legal requirement prevents us from providing the affected functionality.
Where immediate action is reasonably necessary to protect security, comply with law or prevent serious harm, we may act without prior notice and notify you as soon as reasonably practicable.
You may cancel your subscription in accordance with Sections 7 and 8.
On termination, access to the affected service may cease. Data export, retention and deletion will be handled in accordance with the applicable agreement, our Privacy Policy, any DPA and applicable law.
Termination does not affect accrued rights or obligations, including valid outstanding payments, or provisions intended to survive termination.
18. Warranties and Liability
18.1 Business Customers
To the fullest extent permitted by law, and subject to the exceptions below, we exclude liability for indirect or consequential loss arising from a business customer's use of the services.
Our total aggregate liability to a business customer arising out of or in connection with the relevant service shall not exceed [INSERT AGREED LIABILITY CAP, SUBJECT TO LEGAL REVIEW].
Any liability cap must be reasonable and legally enforceable in the circumstances. Nothing in this section excludes liability where doing so would be unlawful.
18.2 Consumers
If you are a consumer, we provide services in accordance with the rights and remedies available under applicable consumer law.
Nothing in these Terms excludes or limits liability where exclusion or limitation is unlawful, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence where the law prohibits exclusion.
Nothing in these Terms limits your statutory rights relating to services supplied to consumers.
18.3 Business Results
Unless expressly stated in a separate written agreement, we do not guarantee a particular commercial outcome, revenue level, number of enquiries, bookings, leads or social media engagement.
This does not remove our obligation to provide the service in accordance with the contract or applicable mandatory law.
19. Events Outside Our Reasonable Control
We are not responsible for delay or failure caused by circumstances outside our reasonable control, including widespread internet outages, third-party platform failures, government action, major infrastructure incidents or other events that could not reasonably have been avoided.
Where such an event materially affects your service, we will take reasonable steps to reduce the impact and inform you where appropriate.
This section does not remove statutory consumer rights or remedies that may apply.
20. Complaints and Support
For questions or complaints about our services, please contact:
Email: contact@ipautomate.co.uk
Please include your name, relevant order or account details and a description of the issue.
We will review your complaint and respond within a reasonable time.
Any service-specific support hours, response targets or service levels will be stated in the applicable package description or separate written agreement. No particular response time or uptime commitment is promised unless expressly agreed.
21. Changes to These Terms
We may update these Terms to reflect changes in our services, business practices, technology or legal obligations.
The version applicable to an existing purchase will be determined by the contract and applicable law. Where a change materially affects an existing subscription, we will provide appropriate notice and obtain consent where legally required.
Updated Terms will be published on our website with a revised “Last updated” date.
22. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over disputes, subject to any mandatory consumer rights and jurisdictional protections that apply.
If you are a consumer residing in another part of the UK or another country, this clause does not deprive you of any mandatory protection or right provided by applicable law.
23. General Provisions
If any provision of these Terms is held to be unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A failure or delay in exercising a right does not amount to a waiver of that right.
You may not transfer your contract to another person without our prior written consent, except where applicable law provides otherwise. We may transfer our rights and obligations where legally permitted, provided that doing so does not unlawfully reduce your rights.
These Terms, together with the applicable order, package description, written proposal and any separate agreements, form the agreement between you and IP Automate concerning the relevant services.
Where documents conflict, a signed bespoke agreement will take precedence over the applicable order or proposal, which will take precedence over these Terms and general website descriptions, unless expressly agreed otherwise. Mandatory consumer rights continue to apply.
